3. Intellectual Property Ownership

Unless otherwise agreed in writing, all proprietary materials created or owned by Idealistlab remain its exclusive intellectual property, including but not limited to:

Internal Systems
Workflows
Methodologies
Marketing Strategies
Documentation
Graphics
Design Assets
Proprietary Processes

These materials may not be copied, reproduced, or reused without prior written permission.

4. Client Materials

All materials supplied by the client remain the property of the client, including but not limited to:

Logos
Trademarks
Brand Assets
Documents
Images
Videos
Written Content
Product Information

The client represents and warrants that they possess all necessary rights, permissions, and licenses to provide such materials.

5. Transfer of Ownership

Ownership of custom project deliverables transfers to the client only after full payment of all outstanding fees and invoices.

Until payment has been received in full, all rights, title, and interest in the deliverables remain with Idealistlab.

6. License to Use Client Materials

The client grants Idealistlab a limited, non-exclusive, and revocable license to use client-provided materials solely for the purpose of performing the agreed services.

This license terminates upon project completion unless continued use is otherwise authorized.

7. Portfolio Rights

Unless otherwise agreed in writing, Idealistlab reserves the right to display completed work, screenshots, project summaries, and non-confidential project information in:

Portfolios
Marketing Materials
Social Media
Presentations
Case Studies
Company Website

Idealistlab will make reasonable efforts to avoid disclosing confidential information.

8. Confidential Information

Both parties agree to protect confidential information exchanged during the course of the engagement.

Confidential information may include, but is not limited to:

Business Plans
Pricing Information
Financial Information
Customer Data
Login Credentials
Source Code
Trade Secrets
Marketing Strategies
Technical Documentation
Internal Processes

Such information shall not be disclosed except as authorized or required by law.

9. Non-Disclosure Obligations

Idealistlab will take reasonable steps to ensure that employees, contractors, consultants, and authorized representatives who access confidential information are subject to appropriate confidentiality obligations.

10. Third-Party Intellectual Property

Third-party software, plugins, themes, fonts, stock media, APIs, and licensed assets remain subject to the terms and conditions of their respective owners and license agreements.

Idealistlab does not claim ownership of any third-party intellectual property used in a project.

11. Copyright Infringement

Any claim alleging copyright or intellectual property infringement may be submitted to Idealistlab for review.

Upon receiving a valid complaint, Idealistlab will investigate the matter and take appropriate action where required.

12. Restrictions

Without prior written permission from Idealistlab, users and clients may not:

Copy proprietary materials
Reverse engineer software or systems
Modify proprietary frameworks
Redistribute proprietary assets
Sell or sublicense proprietary materials
Exploit proprietary content for commercial purposes

except where expressly permitted under a written agreement.

13. Survival

The obligations relating to confidentiality, intellectual property, ownership, and non-disclosure shall survive the termination or completion of services to the fullest extent permitted by applicable law.

14. Policy Updates

Idealistlab reserves the right to modify this Intellectual Property & Confidentiality Policy at any time.

Updated versions become effective upon publication unless otherwise required by applicable law.

15. Governing Law & Jurisdiction

This Policy is governed by the laws of India.

Subject to applicable law, any disputes shall be submitted to the competent courts located in Chapra, Bihar, India.
